Geografx Digital Mapping Services grants you a limited non-exclusive, non-transferable, non-assignable, revocable license to use, view and print content on the Site for your non-commercial, personal use or evaluation purpose only.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected. We will not be held responsible or liable for any failure for the purchase to complete, or any resulting loss or damages to you.

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS GEOGRAFX DIGITAL MAPPING SERVICES, ITS AFFILIATES, SERVICE PROVIDERS AND THEIR RESPECTIVE OWNERS, PRINCIPALS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, SUBCONTRACTORS, THIRD PARTY SUPPLIERS, PARTNERS, LICENSORS OR WEB-RELATED PROVIDERS, FROM AND AGAINST ANY CLAIMS, LOSSES, DAMAGES, OBLIGATIONS, ACTIONS OR DEMANDS, INCLUDING WITHOUT LIMITATION TO REASONABLE LEGAL AND ACCOUNTING FEES, ALLEGING OR RESULTING FROM YOUR USE OF THE SITE; ANY COMMUNICATION YOU POST, UPLOAD OR E-MAIL TO GEOGRAFX DIGITAL MAPPING OR TO THE SITE; ANY ACTIVITY RELATED TO YOUR ACCOUNT; OR ARISING OUT OF YOUR BREACH OF THESE TERMS AND USE OR THE DOCUMENTS THEY INCORPORATE BY REFERENCE; OR YOUR VIOLATION OF ANY LAW, THIS INCLUDES ANY NEGLIGENT OR ILLEGAL CONDUCT BY YOU, ANY PERSON OR ENTITY ACCESSING YOUR ACCOUNT WHETHER SUCH ACCESS IS OBTAINED VIA FRAUDULENT OR ILLEGAL MEANS.
No Waiver
Geografx Digital Mapping Services failure to insist upon or enforce strict performance of any provision of the Terms of Use or any right shall not be construed as a waiver of any such provision or right. If you breach any of these Terms of Use and Geografx Digital Mapping Services chooses not to immediately act, or chooses not to act at all, Geografx Digital Mapping Services will still be entitled to all rights and remedies at any later date, or in any other situation, where you breach these Terms of Use. Geografx Digital Mapping Services does not waive any of its rights. Geografx Digital Mapping Services shall not be responsible for any purported breach of these Terms of Use caused by circumstances beyond its control. A person who is not a party to these Terms of Use shall have no rights of enforcement.
No waiver of any provision herein shall be valid unless in writing and signed by an authorized representative of both you and Geografx Digital Mapping Services.
Assignment
Geografx Digital Mapping Services may assign its rights and duties under these Terms of Use to any party at any time without notice to you. You may not assign or otherwise transfer any of your rights and duties under these Terms of Use to any party at any time.
Severability
If for any reason any provision of these Terms of Use or portion thereof to be unenforceable, or unlawful, that provision shall be enforced to the maximum extent permitted by applicable law, and the unenforceable portion shall be severed from the Terms of Use, and the remainder of the Terms and Use shall continue in full force and effect.
Access from Other Jurisdictions
Geografx Digital Mapping Services makes no representation or claims that the Content on the Site is appropriate or permitted or available for use at any locations or countries outside Canada. Accessing the Content from locations or countries where the Content and use of the Site is considered illegal is prohibited. Those who choose to access this Site from other locations and countries do so, on their own initiative and are responsible for compliance with laws in your jurisdiction.
Governing Law
This Site is controlled and operated by Geografx Digital Mapping Services from its offices within the Province of Ontario, Canada. By accessing this Site, you agree that all matters relating to the access to, use of or Terms of Use shall be governed by, construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, applicable therein, without reference to its conflict of laws principles, and that you will comply with all such applicable laws. You agree to submit to the exclusive jurisdiction of the Province of Ontario with respect to such matters. You also agree the application of the 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded, and does not apply to the Terms of Use, the Site or its Contents, or any digital information products or service offerings.
Language
The Terms of Use has been drafted in the English language at the express request of the parties. In the event the Terms of Use is translated into other language and there are inconsistencies with the translated version, the provisions of the English version shall prevail and control.
Additional Terms
Additional terms and conditions may apply when you use other third party suppliers, partners, affiliates, licensors, web-related service providers or software on or through a link provided on the Site.
By using such link or areas, or any part thereof, you agree to be bound by the additional terms and conditions applicable to such areas. The relationship between you and Geografx Digital Mapping Services is solely that of independent contractors and neither party shall have any authority to act for or bind the other party.
Entire Agreement
These Terms of Use apply exclusively to your use of this Site and its Contents and constitute the entire agreement between Geografx Digital Mapping Services and you and supersede all prior Terms of Use, communications, representations or agreements, either oral or written, between Geografx Digital Mapping Services or its affiliates and you with respect to this Site. No changes to the Terms of Use shall be made except by a revised posting on this page and its Effective Date.
